This Current Report on Form 8-K/A amends the Current Report on Form 8-K of PennantPark Floating Rate Capital Ltd. (the “Company”), filed with the Securities and Exchange Commission on March 30, 2022, to include the Company’s ticker symbol, “PFLT”.
Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing
On March 30, 2022, the Company, acting pursuant to authorization from its Board of Directors, provided written notice to The Nasdaq Stock Market LLC (“Nasdaq”) of its determination to voluntarily withdraw the principal listing of the Company’s common stock, $0.001 par value (the “Common Stock”), from Nasdaq and transfer the listing to the New York Stock Exchange (“NYSE”). The Company expects that listing and trading of the Common Stock on Nasdaq will end at market close on April 13, 2022, and that trading will commence on the NYSE at market open on April 14, 2022.
The Common Stock has been authorized for listing on the NYSE, where it will continue to trade under the stock symbol “PFLT.”

PennantPark Floating Rate Capital Ltd. Announces Transfer of Common Stock listing to the New York Stock Exchange
MIAMI, March 30, 2022 (GLOBE NEWSWIRE) -- PennantPark Floating Rate Capital Ltd. (the “Company”) (NASDAQ: PFLT) today announced that it is transferring the listing of its common stock to the New York Stock Exchange (NYSE) from The NASDAQ Global Select Market. The Company’s common stock is expected to begin trading on the NYSE on April 14, 2022 under its current ticker symbol of ‘PFLT’. The Company will continue to trade its common stock on NASDAQ until the transfer to the NYSE is completed.
